1. Scope of Application
These Terms and Conditions (T&C) apply to all business relationships between MIDOR Group (hereinafter "MIDOR") and its business clients (B2B). Deviating conditions of the client are not recognized unless MIDOR expressly agrees to their validity in writing.
2. Conclusion of Contract
Offers from MIDOR are subject to change and non-binding. A contract is only concluded upon written order confirmation by MIDOR or through the execution of the service.
3. Services
MIDOR provides services in the areas of market access, distribution, and brand representation. The exact scope of services is defined in the respective project contract or order confirmation.
4. Remuneration and Payment Terms
Remuneration is based on the conditions agreed upon in the project contract. Unless otherwise agreed, invoices are payable without deduction within 14 days of the invoice date.
5. Liability
MIDOR is liable for intent and gross negligence. For slight negligence, MIDOR is only liable in the event of a breach of essential contractual obligations (cardinal obligations). In this case, liability is limited to the foreseeable damage typical for the contract.
6. Confidentiality
Both parties undertake to keep all confidential information obtained within the scope of the cooperation strictly confidential and not to disclose it to third parties.
7. Final Provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes arising from or in connection with this contract is Leipzig, Germany.
